A. Secretarial
Complete responsibility for ensuring adherence to all provisions of Companies Act with regard to secretarial and governance matters for all the business units at Apeejay Surrendra Group.
Ensuring the Governance framework is in place in terms of Board and constitution, Committees and conduct of meetings of the Board and Committees
Overesee for Convening and managing Board / General Meetings of operating Group Companies in accordance with the provisions of the Companies Act, and rules thereunder.
Ensure proper and timely filing of compliance related documentation for main operating Group companies .

B. Compliance
Compliance and liaising with the Ministry of Corporate Affairs, Registrar of Companies, external auditors and advisors.
Support compliances with all statutory requirements and advise directors and members on key managerial and corporate governance matters
Structuring of new business products in collaboration with the stakeholders and offering mitigation of risk to ensure statutory and regulatory compliances.
Ensuring compliance with all applicable regulations and provisions
Drafting/finalization/implementation of policies as prescribed by the regulators and their review periodically
Providing guidance to business on various regulatory developments and implementation of changes thereof.
Ensure compliance of CSR practice in companies where it is applicable

Roles and Responsibilities
Scrutinizing all inventory forms received from the vessels
Following up with the vessel with regards to any discrepancies noticed in the inventory form
Obtain preliminary sanction for indented quantity / items from technical superintendent and follow the purchase process
Floating enquiries to different suppliers and receive quotations from suppliers.
Facilitating award of contract for supply to vendor through preparation of comparative statement and submitting the same to technical superintendent.
Placing Order on obtaining instructions from technical superintendent and communicating the same to the selected vendor along with shipping instructions for the items to be placed on board the vessel.
Following up and communicating with agents, ships personnel and suppliers in respect of supply of indents and obtain ships confirmation of receipt of supply goods through departure report.
Filing of purchase related documents.
Physical stock checking of spares/ stores on board
Negotiating with various vendors for major supplies such as Paints, Lubes, Spares and ensuring best prices are negotiated
He may be called upon by the management to perform other activities as deemed appropriate from time to time.
